企业并购中的人力资源整合

 摘 要

企业并购是市场经济条件下通过产权交易获得其他企业控制权的经济行为,
是企业为了实现规模扩张、增强竞争力而采取的一种成长战略,同时也是一种实现经济结构调整和资源重新配置的手段。在中国加入WTO以后,企业之间的并购日益增多,但是成功的很少,一个重要原因就是忽略了并购后整合对并购效果的决定性作用。无论是并购后的经营方面的整合、财务整合、信息资源整合、人力资源整合或是文化整合,都对并购的成功具有重要影响,而企业经营要“以人为本”,如果离开了人的主观能动性的发挥,企业成功经营就无从谈起。人力资源是企业的核心资源,是影响企业并购成败的关键因素,因此在人力资源整合的过程中,实施相应的策略便有着非常重要的意义。
 本文从人力资源整合对企业并购成功的重要性出发,论述了企业并购和人力资源整合的概念,分析了现代人力资源整合的一般理论和并购企业人力资源整合的模型。在浏览了对众多企业并购中人力资源整合的研究,得出了企业并购中人力资源整合经常遇到的问题,提出了在并购整合过程的三个阶段分别采取措施来规避这些问题。

Abstract

Enterprise merger is under the conditions of market economy through the property transaction other enterprise control economic behavior,Is the enterprise in order to realize the scale expansion, competitiveness and take a growth strategy, is also a kind of economic structure adjustment and resources. In China entered the WTO, the merger between enterprises is increasing, but the little success, is an important reason ignored for acquisitions effect after the merger of integration. Whether the merger of financial management, integrated, information resource integration, human resource integration or cultural integration, all of the acquisition of success, and has important influence on the enterprise management should "people-oriented", if left one of subjective activity and enterprise management will be successful. Human resource is the core resource is the key enterprise merger influence factors in human resources integration, therefore, in the process of implementing the corresponding strategies, and has very important significance.
Based on human resource integration successful merger, expounds the importance of m&a and human resources integration, and analyzed the concept of modern human resources integration of the general theory and model of enterprise human resources integration. For many in the merger through human resource integration in the study, the enterprise mergers often meet in human resources integration, puts forward the problems in the process of integration of the merger is three stages were taken measures to avoid these problems.
