技术获取型海外并购的战略选择--以吉利并购沃尔沃为例


2005年是中国企业名副其实的“海外并购年”,中国企业的海外并购正式翻开新的一页。特别是2008年至2013年,由经济危机连带引发的国际经济局面动荡,经济形势严峻对我国造成一定的冲击,然而宽松的货币政策、超值的低价资产,企业并购成本的降低,给企业并购带来契机,中国企业的海外并购浪潮一波接一波。中国企业企图通过海外并购,来满足自身快速及更好的实现多元化的发展。技术获取型的海外并购成为海外并购的重点方式之一,但是最终结果都不尽如人意。由于企业自身的因素和并购战略选择的不同,导致大量的海外并购以失败告终。本文通过吉利成功并购沃尔沃的案例,采取描述性及案例分析的方法,对中国企业技术获取型海外并购的战略选择进行初步研究,并为使企业在经济一体化的大背景下不断提高海外并购质量和降低并购风险提供建议。

The Overseas Strategic Choice of Technology Acquisition -- Example for Geely m&a Volvo
ABSTRACT
2005 is a veritable year of overseas mergers and acquisitions by Chinese companies, Chinese enterprises overseas mergers and acquisitions officially opened a new page. 2008-2013, jointly and severally by the economic crisis triggered by the international economic situation of unrest, the economic situation to have a certain impact on China, loose monetary policy, however, the value of low-cost assets, mergers and acquisitions costs reduced to the enterprise M & A bring opportunities for Chinese enterprises overseas M & A wave with wave after wave. Chinese companies attempted through overseas mergers and acquisitions, to meet their fast and better diversified development. Technologies to obtain the type of overseas mergers and acquisitions to become one of the focus of overseas mergers and acquisitions, but the end result is not satisfactory. Factors and acquisition strategy of the enterprise itself selected, resulting in a large number of overseas mergers and acquisitions fail. Geely acquisition of Volvo's case, take the description and case analysis, a preliminary study of Chinese enterprise technology for overseas mergers and acquisitions, strategic choice, and to continuously improve the overseas enterprises in the backdrop of economic integration M & A quality and provide recommendations to reduce M & A risk.
