万科股权之争折射的上市公司治理问题探讨

随着我国上市公司的逐步发展，公司治理对企业产生越来越大的影响力。行之有效的公司治理对我国的公司治理水平有很大的提升，并对构建有效的公司治理制度具有非常大的意义。2015年一场中国A股市场上公司股权并购与反并购的战争发生在万科与宝能系两大公司之间，对我国上市公司的公司治理产生的重要的影响，是关于中国上市公司治理方面的典型案例。本文拟从上市公司治理问题作为切入点，以万科股权之争为例，试分析我国公司治理的现状，从而探究万科股权之争案例的原因,以及对我国公司治理产生重大影响和启示，尝试采取相关解决措施和方案来处理我国上市公司自理方面的弊端。
