浅析企业并购的文化整合问题


企业并购是企业发展的重要手段,也是企业做强做大的战略选择。在全球范围内,并购已经成为企业扩大规模、增强实力、提高效率的重要途径。但是,大部分企业并购后未能实现期望价值。其中,忽视企业文化的融合是一个重要原因。许多企业在并购前一般只重视战略和财务因素,忽略两家企业并购后文化的兼容性。在失败的重组案例中,80%以上直接或间接起因于新企业文化整合的失败。在企业并购中,由于经营规模、行业、所在区域等方面的不同,决定了企业之间在文化方面存在明显的差异,经营思想、价值观念、工作态度、管理方式方法等方面都形成了强烈的文化冲突。因此,企业文化的整合影响企业并购的成败。当两个企业合并后,各企业原来的经营理念、待人处世方法、习惯风气和员工情结都存在一定的冲突,这是规章制度和操作规程所不能解决的问题,领导层要密切关注对于两种企业文化的理解以及它们之间的融合,尤其是在这两种文化集权程度、开放性、正规性等方面差异较大的情况下,应在文化管理方面投入足够的资源,防止出现过高的并购成本,甚至并购失败。

ABSTRACT

The enterprise mergers is one of the world trend of economic development ,as well as enterprises grow in size and strength of the strategic choice. Globally, mergers have become to the size of enterprises to expand and enhance strength, an important means of improving efficiency. However, majority of mergers fail to achieve the desired value.Among them, the neglect of the integration of corporate culture is an important reason. Many enterprises in the acquisition of the former generally focus on strategic and financial factors, ignored the two companies of cultural compatibility after the acquisition. In the case of the failure of the reorganization, more than 80% of the causes, directly or indirectly, in the new enterprise culture of the failure of integration. In the enterprise mergers, because of the scale of operation, industry, and where the different regions, between the decision of the enterprise there is an obvious cultural differences, business ideas, values, attitudes, ways and means of management and other aspects of the formation result on strong cultural conflict. Therefore, the integration of corporate culture affect the success of mergers. When the two mergers and acquisitions, the original concept of the business, culture and staff accustomed to feeling a certain degree of conflict exists, it is the problem that the regulations and rules will not solve, the leadership should pay close attention to the two kinds of understanding of corporate culture, as well as the integration between them, especially the different circumstances centralization of power in both degree of culture, openness, informality, etc., the enterprise should allocate sufficient resources in the cultural management to prevent the high acquisition cost.
