中石油和中海油海外投资成败因素比较分析
摘  要

随着经济的全球化，投资的国际化以及我国近年来快速的经济发展，中国已经不再满足于作为一个国际资金的接受国，也开始一逐步成为国际资金的输出国。国际投资主要依靠绿地投资和跨国并购两种方式，对于一个新兴的国际投资资金输出国，跨国并购这种方式有着举足轻重的作用。
近年来，中国的海外投资项目逐渐增多，涉及的金额也急剧增加，越来越受到其他重要国际投资国家的关注。然而，中国在海外投资的道路上不时的遇到各种阻力，特别是在大型投资项目和大型并购项目上受到了西方国家的大力阻挠和排挤，因此，中国的海外投资成功率并不令人满意，反而在一次次失败中耗费了大量来之不易的资金。当然，中国海外投资的失败不能仅仅归于西方世界的阻挠和干涉，还有很大一部分原因在于中国企业自身的管理水平不高，前期准备不足以及其他重要因素。
本篇论文旨在使用资料文献法，案例法和比较法通过对中石油收购新加坡石油和中海油收购优尼科两个案例的分析和比较研究，寻找影响中国海外投资的重要因素，并且在失败中吸取经验教训，为中国在以后的海外投资中提供一定的理论基础和经验。

ABSTRACT

With the globalization of economic and the internationalization of investment and the rapid development of economic in China in recent years, China has no longer satisfied as a recipient of international capital and has begun to gradually become an international capital exporter. Greenfield investments and cross-border mergers and acquisitions are two main ways of international investment, for a new capital exporter of international investment country, cross-border M & A plays an important role in this way. In recent years, China's overseas investment case and the amount involved has increased dramatically. So many other main countries playing important roles in international investment have been paying more and more attention on this phenomenon. However, China's overseas investment from time to time encounter various obstacles, especially Western countries traverse and interference in the large-scale investment projects. Therefore, the success rate of China's overseas investment is not satisfactory. Instead, they have wasted a lot of hard-earned money. Of course, the failure of China's overseas investment is not only attributed to the obstruction and interference in the Western world, and a large part of the reason lies in China's low level of management and inadequate preparation, and other important factors. This article aims to use the data of literature, case analysis and comparative analysis with the case of China Petroleum and Singapore Petroleum Acquisition and the case of the oil CNOOC bid for Unocal to study of Chinese overseas investment and then to find the important factors to the failure and summary Lessons from these cases. In this way we can provide theoretical foundation and experience to  China's overseas investment in the future.
