并购中的企业文化冲突与文化整合问题研究

【内容摘要】

20世纪九十年代以来,出现了“强强联合”为特征的第五次兼并浪潮。

兼并成功与否除了财务目标实现以外,还取决于文化整合的问题,本文就是对企业并购后出现的文化整合问题进行初步研究。首先,文章从文化整合问题的重要性入手,分析了不同企业文化整合的几种模式,通过运用理论分析和案例分析相结合的研究方法,提出解决文化冲突的措施。本文认为企业文化冲突引起的不良后果是文化整合不当的结果,应就企业形式、规模等选择合适的方法对症下葯,持续治疗、巩固体系,将危害降到最低。

ABSTRACT
Since 90’s in the 20th Century, there came the fifth merging stage that has heated the companies all over the world. The success of a merging depends on not only the actualization of the financial goal but also how good the enterprise culture integrity is. Here we start the discussion of how to deal with the conflict of the enterprise culture during the merging process. Firstly, the essay introduces the increasingly importance of enterprise culture combination these days and next it gives some brief analysis of how to choose models due to different enterprise culture, with the help of theory and case analysis, make some constructive suggestion for how to get the conflict of enterprise culture solved. The essay concludes that the conflict of enterprise culture is caused by unsatisfied culture integrity, some action should be done to minimize the loss in the aspect of the enterprise mode and model choosing.
