近年来，不少国家证券市场的违规行为愈演愈烈，证券监管的必要性及其效率受到质疑。
证券市场是特殊的资本市场，其特征内生了该市场的发展离不开监管。加强监管应是题中之义。然而管制俘获理论揭示，如果不规范监管者的行为，监管对证券业来说未必是一件好事。从英、美国家的证券监管历程来看，当前，证券监管的规范化工作比加强监管对我国证券市场的健康发展也许更为重要。
