公司治理是现代企业发展的产物，随着公司所有权与经营权的日益分离，公司治理在各国经济生活中发挥着越来越重要的作用。公司治理效率已经成为众多企业繁荣和衰退的根源性原因的最新解释，公司治理理论也日臻完善。本文从经济学、管理学的角度出发，基于目前国内外关于公司治理的相关研究成果，论述了公司治理和公司治理效率的相关概念，阐述了我国国有企业公司治理的失效现状和效率低下的理论基础，并结合我国国有企业实情，指出应从产权结构、股东权利、政府职能、资本市场、经理人市场等方面完善公司内部治理机制和公司外部治理市场，从而提高国有企业公司治理效率，提升国有企业市场竞争力。【关键词（本论文范文的主要论点）】国有企业公司治理效率英文摘要Abstract
Corporate governance is the result of the development of modern enterprises; it is playing a more and more important role in the business of different countries as the ownership gradually separates from management. The Corporate governance efficiency has been now the newest explanation corresponding to the original reasons why different enterprises become stronger or weaker, and the theory is being developed. Base on the research of corporate governance at home and abroad, this article will explains the concepts of corporate governance and the corporate governance efficiency In the light of economics and Management, and elaborate the current situation and theoretical basis of corporate governance failure and low efficiency in State-owned enterprises. What’s more, the article will also indicate that it is essential to develop the internal governance mechanisms and the external market from the following aspects: ownership structure、stockholder's right、government function、capital market and manager’s market in accordance with the practice of State-owned enterprises, which would increase the Corporate governance efficiency and improve the competitiveness of State-owned enterprises.
