中国企业跨国并购风险研究
摘 要

随着经济全球化进程的加快和我国企业规模的不断壮大，越来越多的中国企业开始把跨国并购作为对外直接投资、开拓国际市场的新策略。但实施跨国并购涉及的问题多而复杂,充满了各种各样的风险。如果对跨国并购的风险分析不透、防范不当,不但严重影响企业对外投资战略的成功实施,还有可能对企业原本根基造成较大威胁。因此，深入分析新形势下的跨国并购风险的特征并建立有效的防范机制，对于中国企业减少并购的盲目性，提高跨国并购的成功率，避免并购损失有着重要的现实意义。
本文通过对我国企业跨国并购的研究，首先总结了我国企业跨国并购的现状及特点；其次分别对并购前、并购中、并购后三个阶段的风险进行阶段性深入研讨，并且结合具体案例进行分析；最后提出了规避这些风险的几点建议。

ABSTRACT

With the accelerated process of economic globalization and the Chinese enterprises has grown more and more ,Chinese enterprises began to consider cross-border M&A as main way for foreign investment and expand the international market. .But the transnational M&A is complicated and risky ,if not fully understand and prepared ,it will not only have negative impact on enterprises' overseas investment strategy ,but also threaten the enterprises' foundation. In order to reduce the blindness and improve the success rate of cross-border M&A ,it has practical significance to analysis the feature of cross-border M&A risk and build effective prevention mechanism.
This paper is based on China's board-cross M&A Research, I will sum up the status quo and characteristic of Chinese enterprise .Then I will analyze the risks deeply before ,during and after cross-border M&A combined with specific cases. In the last part of this article , I will Put forward some suggestions to avoid these risks
