企业收购兼并过程中的风险研究

内 容 摘 要

企业并购是企业扩大规模、增强竞争实力的重要手段，也对国民经济产生一系列影响。为提高企业并购成功率，企业并购风险的研究越来越被急切地要求提上日程。论文通过对企业并购中可能遇到的种种风险及其表现的分析，运用实例分析法结合几个企业并购案例的探讨，提出多渠道广泛调查、掌握政策最新动向、重视中介服务机构、合理确定目标公司价值、制定有效的整合措施等手段以规避企业并购风险，为我国的企业并购事业提供参考和借鉴。

Abstract

Corporate merge and acquisition is an important mean for an enterprise to enlarge its operation scale and increase its competitive strength, It brings forth a series of influences on the company and the national economy as well. In order to enhance the enterprise merger and acquisition success ratio, research on risks of corporate merger and acquisition is requested to raise the program anxiously. Through analyzing all sorts of risks and their performances, simultaneously uses example analytic method to carry on the discussion of several corporate merger and acquisition cases, proposes the multi-channel widespread investigations, grasps policy newest trend, takes the intermediary service organization, determines the value of the goal company reasonably, formulates the effective conformity measure and so on, provides the reference and the model for our country's corporation merger and acquisition.
