珠三角民营企业并购风险及其防范措施研究

摘要
企业开展并购活动，可以迅速扩大企业的经营规模，实现规模经济，提高企业的市场竞争力。改革开放以来，随着民营经济的快速发展壮大，并购也成为了民营企业谋求持续发展的重要手段，并购给民营企业带去发展机遇的同时，也带去了潜在的风险，由于没有充分认识的风险的存在，没能及时对风险采取防范措施，导致了民营企业并购的失败率高企。本文以珠三角的民营企业并购风险为研究对象，目的在于通过对珠三角民营企业并购的风险进行分析，为珠三角民营企业并购活动提供风险的防范措施。本文首先对民营企业的范围和并购风险的概念作出了界定，并对企业并购的背景做了介绍；然后对珠三角民营企业并购风险的特性进行了概括和分类，并对珠三角民营企业的并购风险进行了详细的分析，指出了珠三角民营企业并购活动每个阶段所存在的风险因素及其产生的原因；最后，针对珠三角民营企业并购活动存在的风险，提出了珠三角民营企业并购风险的相关防范措施。

Abstract
Acquisition can help to enlarge the scale of operation, achieve scale economy and improve the market competitiveness of a company. Since Reform and Open-up and the rapid growth of private enterprise, acquisition has become an important way to seek sustainable development. Acquisition brings development opportunities but also potential risks in the meanwhile. Because of not realizing the risks adequately and adopting measures timely, the rate of failure in acquisition is very high. The researching target of this paper is the acquisition risk of private enterprise of Pearl River Delta, aiming at providing them precautionary measures through the analysis of the acquisition risks of private enterprise .The paper will firstly make an introduction of scope of private enterprise and definition of acquisition risks and background. Secondly, outline and classify the risks and make a detailed analysis of them to point out the risks factors in each phase of acquisition and the reasons of the risks. Finally, put forward some precautionary measures aiming at the acquisition risks of private enterprise of Pearl River Delta.
