论中国上市公司的市值管理

摘  要
“市值管理”是当今中国资本市场里的一个热门话题，萌生于2005年5月8日开启的具有里程碑意义的上市公司股权分置改革。这场改革的成功推进，使得中国资本市场实现了全流通的制度环境，市值成为了资本的新标杆，市值管理成为了中国资本市场上的一场管理新革命，成为我国下至近2000家上市公司，上至宏观经济管理部门不得不面对的一个管理新课题。只有对市值管理的研究应立足经济学、金融学和管理学理论，借鉴发达国家资本市场和公司价值管理的成熟理论与成功实践，从微观和宏观两个方面系统和深入地阐述了发生在中国的市值管理革命的背景、意义、内涵及应对。才会对从事市值管理理论研究与实务探索的专家、学者、企业家和各类专业人士具有极强的参考价值。市值管理目前是资本市场关注的一个焦点，对上市公司市值管理的研究基于国内股权分置改革基本完成的背景下，分析中国上市公司进行市值管理条件与必要性，并就如何进行市值管理及市值管理应注意的事项进行探讨。

Abstract
“Market value management” is the Chinese capital market in a hot topic, initiation in 8th May 2005 open landmark share-trading reform of listed companies. This reform of successfully promote, make China capital market realized the full circulation of institutional environment, market capitalisation became the capital new benchmarking, wiping management become the country's capital market a new management revolution, become our country down to nearly 2,000 listed companies, up to macroeconomic management department to face a management new topic. Based on the economics, finance and management theory, and the developed countries for reference capital market and corporate value management theory and successful practice of mature, from the macro and micro two aspects system and deeply elaborated occurred in China market capitalisation of management revolution the background, significance, connotation and coping, is the first book on market value management research of professional books, to are undertake research and practice value management theoretical exploration of experts, scholars and entrepreneurs and various professionals with strong reference value. Market value management at present is the capital market attention a focal point, this paper based on the reform of non-tradable shares basically completed under the background of the analysis of Chinese listed companies, management condition and the necessity, market and how to conduct market value management and market value management matters needing attention were discussed.
