资源类企业并购策略研究

摘 要：近年来，中国企业在并购方面风起云涌，特别是以资源占有为目的的并购，往往涉及金额巨大，且很多都对于整个国民经济有深远影响。中石油收购PK等具有代表性的并购事件引发我们思考，采取并购方式获得生产要素有何趋势与意义，其操作策略又有那些。本文将围绕这些问题进行探讨。我们采取的方法是案例与数据分析相结合的方法。本文的一个创新之处就是比较详细的分析了销售终端的并购态势，并引进了一个自创的关于并购风险的公式。

Study on the M&A Strategy of Resource Enterprises

Abstract：In recent years, a large number of Chinese enterprises have been pursuing M&A, in particular, is the resource possession which often involves huge amount of money and has great impact on national economy. For instance, the acquisition of PK by Chinese Petro provoke us to think about such kind of issues as what is the trend, the meaning and relative strategies in order to obtain resources through M&A. This article will discuss these issues. The methodology we employed are case study as well as the data analysis. The innovation of this article is the analysis on the characteristics of terminal sales for M&A, beside, a creative formula of risks of M&A is introduced.
