随着中国银行市场全面对外开放，及近年来爆发的一场全球性的金融危机，商业银行的公司制改革成为我国经济和金融体制改革的攻坚领域。
商业银行的公司治理机制的改革将直接关系到商业银行体制改革的成败。
在分析和归纳了公司治理理论的基础上，并且研究了国有商业银行的公司治理。同时从国际视角出发，对英美和日德治理机制进行了比较，并联系实际，指出目前我国商业银行治理中存在的问题。在此基础上，对我国国有商业银行治理的改革提出了相应的思路和建议，最后从商业银行内部和外部两方面给出了具体的构建方案。

Abstract

In the analysis and summarizes the theory of corporate governance on the basis of the study and the state-owned commercial banks corporate governance. At the same time, from an international perspective on Japan, Germany, Britain and the United States and the governance mechanisms are compared, and with practice, pointing out that China's commercial banks problems in governance.
