【内容摘要】

随着股权分置改革的基本完成,我国上市公司开始了实施股权激励计划的热潮。

股权激励机制是经发达国家实践证明的行之有效的长期激励方式,能有效解决国有上市公司高管人员和股东之间目标函数不一致所产生的委托—代理矛盾,促进企业高管和股东之间形成利益共同体,激励企业高管为股东和社会创造更多的价值。
本文将围绕股权激励制度的产生背景,分析股权激励调和所有者与经营者之间的矛盾以及股权激励作用的机理;本文分析了中国现有环境下的股权激励现状,包括法律环境以及经济环境,以及如何在当下及未来根据宏观市场环境和公司经营情况进行股权激励方式的选择。针对我国股权激励开展的实践情况,本文以宝钢股份的股权激励实例,简要分析其股权激励制度的设计成功之处以及可以借鉴之处。最后,本文分析了现有的股权激励制度存在的诸如公司结构问题、绩效考核合理性、资本市场不完善等问题,并相应的提出一些建议。

ABSTRACT

With the accomplishment of the reform of the Option Division, the listed companies in our country set off a upsurge of implementation of equity incentive . Equity Incentive mechanism is a measure of long-term stimulation, whose effectiveness has been proved by the practice of many enterprises in the developed countries. It is aligning the interests of managers with those of shareholders and to incentive managers to maximize shareholder's wealth and social value.
This article described the emergence of equity-based incentives system in the context of what are, why the owner of equity-based incentives and be able to reconcile the contradiction between the operators and equity-based incentives can work in; this article will discuss the environment in China under the existing status of equity-based incentives, including the legal environment as well as the economic environment, and how to present and future market environment, according to the macro situation and corporate equity incentive selection approach. At the same time, this article will be quoted Baosteel shares examples of equity-based incentives, a brief analysis of its stake in the design of incentive systems, and can learn from the success of the. Finally, this article will analyze the existing system of equity-based incentives such as corporate structure of the question, the reasonableness of performance appraisal, capital market imperfections, such as questions and make suggestions accordingly.
